These Terms and Conditions of Sale ("Terms") govern all quotations, orders, and sales of products by Shining Seas Imports, LLC dba Shining Seas Ingredients ("Shining Seas Ingredients," "we," "us," or "our"), unless a separate written agreement signed by both parties states otherwise. By placing an order, the buyer accepts these Terms.
QUOTATIONS AND ORDERS
Quotations are valid for 30 days from the date issued unless stated otherwise. An order becomes binding when we confirm it in writing. Prices exclude taxes, duties, and freight unless the order confirmation states otherwise.
PAYMENT
Payment terms are stated on the order confirmation or invoice. Past-due balances may accrue interest at 1.5% per month, or the highest rate permitted by law, whichever is lower. We may hold or suspend shipments on past-due accounts, and the buyer is responsible for reasonable costs of collection.
SHIPPING, TITLE, AND RISK OF LOSS
Shipping terms are stated on each order confirmation. Title and risk of loss pass to the buyer according to those terms. Delivery dates are good-faith estimates, not guarantees.
INSPECTION, CLAIMS, AND RETURNS
The buyer must inspect products on arrival. Claims, returns, and refunds are handled under our Return & Refund Policy, available at shiningseasingredients.com/return-policy, which is part of these Terms.
PRODUCT WARRANTY
We warrant that products conform to the applicable specification and Certificate of Analysis at the time of shipment. We make no other warranty of any kind, express or implied, including any warranty of merchantability or fitness for a particular purpose. The buyer is responsible for confirming that a product is suitable for the buyer's intended use and for the regulatory compliance of the buyer's finished products.
STORAGE AND HANDLING
Products must be stored and handled according to their recommended conditions after delivery. We are not responsible for product that deteriorates because of improper storage, handling, or processing after delivery.
LIMITATION OF LIABILITY
Our total liability for any claim is limited to the purchase price of the product giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits.
FORCE MAJEURE
We are not liable for delays or failures caused by events beyond our reasonable control, including weather, port congestion, carrier delays, government action, or supply interruptions.
GOVERNING LAW
These Terms are governed by the laws of the State of California. Any dispute will be resolved in the state or federal courts located in Orange County, California.
