Helm — End User License Agreement

This End User License Agreement (“Agreement”) governs use of Helm (the “Application”), software owned by Wiaterra LLC (“Licensor”) and licensed for the internal business use of Shining Seas Imports LLC dba Shining Seas Ingredients (“Licensee”). By accessing or using the Application, the authorized user agrees to this Agreement.
1. License grant
Licensor grants Licensee a limited, non-exclusive, non-transferable, revocable license to access and use the Application solely for Licensee’s internal business operations, and only by Licensee’s authorized employees, contractors, and agents. The Application is private and is not offered to the public.
2. Ownership
The Application, including all software, code, and intellectual property, is and remains the property of Licensor. Licensee’s business data processed through the Application remains the property of Licensee. No ownership rights in the Application are transferred by this Agreement.
3. Permitted use
The Application is to be used only for lawful internal business purposes — including viewing and acting on Licensee’s own accounting, sales, inventory, and operational data — and in compliance with the terms of any connected services, including Intuit QuickBooks Online.
4. Restrictions
The authorized user shall not: (a) share access credentials or allow unauthorized access; (b) reverse engineer, decompile, or attempt to extract source code except as permitted by law; (c) resell, sublicense, or commercially exploit the Application; (d) use the Application to violate any law or the terms of any connected service; or (e) attempt to access data the user is not authorized to access.
5. QuickBooks Online and connected services
The Application connects to QuickBooks Online and other business systems on a read-only basis where applicable, using authorized credentials. Use of the Application in connection with QuickBooks Online is also subject to Intuit’s applicable terms. The Application does not write to, modify, or delete QuickBooks Online data. Handling of data is described in the Privacy Policy, which is incorporated by reference.
6. Data and security
The Application is operated behind identity-based access controls with enforced multi-factor authentication, encrypted connections, and encrypted storage of credentials and sensitive data. Authorized users are responsible for maintaining the confidentiality of their own access and for using the Application in accordance with Licensee’s security policies.
7. Generative AI features
The Application includes generative-AI–assisted features (such as summaries and draft communications) that operate on Licensee’s own data and produce outputs for human review. Authorized users are responsible for reviewing AI-assisted output before relying on it or sending any external communication. AI features do not write to QuickBooks Online and do not use QuickBooks data for model training.
8. Disclaimer of warranties
The Application is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The Application is an operational aid and is not a substitute for professional accounting, financial, legal, or tax advice. Licensee is responsible for verifying figures against authoritative records.
9. Limitation of liability
To the maximum extent permitted by law, Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business, arising out of or relating to the use of the Application.
10. Termination
This license remains in effect until terminated. Licensor or Licensee may terminate access at any time. Upon termination, the authorized user must cease using the Application; stored credentials and data may be revoked, deleted, or disabled in accordance with the Privacy Policy.
11. Changes
Licensor may update this Agreement from time to time. Continued use after an update constitutes acceptance of the revised Agreement. Material changes will be reflected by an updated “Last updated” date above.
