Helm End-User License Agreement

Effective Date: June 1, 2026

This End-User License Agreement ("Agreement") governs access to and use of Helm ("Helm" or the "Application"), an internal business application operated by Shining Seas Imports LLC dba Shining Seas Ingredients ("Shining Seas Ingredients," "we," "us," or "our").

1. Internal Use Only

Helm is a private internal business tool. It is not offered, licensed, marketed, sold, or made available to the general public, customers, or other external users. Access is limited to authorized employees, contractors, and agents of Shining Seas Ingredients who have been approved by Shining Seas Ingredients to use the Application for internal business purposes.

2. License Grant

Subject to this Agreement and any applicable company policies, Shining Seas Ingredients grants each authorized user a limited, revocable, non-exclusive, non-transferable license to access and use Helm solely for Shining Seas Ingredients' internal business operations.

No rights are granted except as expressly stated in this Agreement. Helm and all related software, interfaces, content, documentation, workflows, and business logic remain the property of Shining Seas Ingredients or its licensors.

3. Authorized Access

Users may access Helm only through company-approved authentication and access control methods. Users are responsible for maintaining the confidentiality of their credentials and for using Helm only as authorized by Shining Seas Ingredients.

Any unauthorized access, attempted access, sharing of credentials, circumvention of access controls, or use of Helm outside the scope of assigned company duties is prohibited.

4. QuickBooks Online Integration

Helm may connect to QuickBooks Online through Intuit's APIs using authorization approved by Shining Seas Ingredients. Helm uses this connection on behalf of Shining Seas Ingredients to access company business accounting data for internal reporting and dashboard purposes.

Helm is intended to use QuickBooks Online data in a read-only manner. The Application is not intended to create, update, delete, or otherwise modify QuickBooks Online records.

5. Acceptable Use

Users agree not to:

• use Helm for any purpose other than authorized internal business operations;
• access, export, copy, or disclose company data except as authorized;
• attempt to bypass, disable, or interfere with security or access controls;
• reverse engineer, decompile, or attempt to derive source code from Helm except where permitted by law;
• introduce malicious code, interfere with system performance, or misuse connected systems;
• use Helm in violation of law, this Agreement, or company policy.

6. Company Data

Data accessed through Helm is company business data of Shining Seas Ingredients or data made available to Shining Seas Ingredients through its business systems. Users must treat such data as confidential and use it only for authorized internal purposes.

7. No Public or Third-Party Rights

This Agreement applies only to authorized internal users. It does not create rights for customers, vendors, consumers, or any other third party. Helm is not a customer- facing service.

8. No Warranty

Helm is provided "as is" and "as available" for internal business use. To the maximum extent permitted by law, Shining Seas Ingredients disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or error-free operation.

Helm may contain errors, interruptions, incomplete data, delayed data, or other limitations. Users should not rely on Helm as the sole source of truth for legal, tax, accounting, financial, or operational decisions. Official records should be confirmed in the applicable system of record.

9. Limitation of Liability

To the maximum extent permitted by law, Shining Seas Ingredients and its owners, officers, employees, contractors, agents, service providers, and licensors will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to Helm, including loss of data, business interruption, lost profits, or reliance on incomplete or inaccurate information.

Nothing in this Agreement limits liability where such limitation is prohibited by applicable law.

10. Suspension and Termination

Shining Seas Ingredients may suspend, restrict, or terminate access to Helm at any time, with or without notice, including when a user's employment, contractor, or agency relationship changes or ends, when access is no longer required, or when Shining Seas Ingredients determines that continued access may create a security, operational, legal, or business risk.

11. Changes to Helm or this Agreement

Shining Seas Ingredients may modify, suspend, or discontinue Helm, or update this Agreement, at any time. Continued use of Helm after an update means the user accepts the updated Agreement.

12. Governing Law

This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles.
